Agreement to Terms

Welcome to Tallzy! By accessing or using our mobile application and services ("Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use our Service.

1. Description of Service

Tallzy is a mobile application that helps families and groups track shared expenses, calculate fair splits based on weighted shares (adults, children), and manage settlements. Our Service includes:

• Creating and managing trips/gatherings with multiple families
• Adding family members with customizable share weights
• Tracking expenses with receipt attachments
• Automatic settlement calculations
• Expense categorization and reporting

2. Eligibility

You must be at least 13 years old to use Tallzy. If you are between 13 and 18 (or the age of majority in your jurisdiction), you may only use the Service with parental or guardian consent.

By using Tallzy, you represent and warrant that:

• You meet the age requirements above
• You have the legal capacity to enter into these Terms
• You will not use the Service for any illegal purpose
• You are not prohibited from using the Service under applicable laws

3. Account Registration

To use Tallzy, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your account credentials secure and confidential
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

We reserve the right to suspend or terminate accounts that violate these Terms or appear to be fraudulent or abusive.

4. User Content and Conduct

Your Content

You retain ownership of all content you submit to Tallzy (trip names, expense descriptions, receipt images, etc.). By submitting content, you grant us a limited license to use, store, and display your content solely to provide the Service.

Prohibited Conduct

You agree NOT to:

• Use the Service for any illegal purpose or in violation of any laws
• Upload malicious code, viruses, or harmful content
• Attempt to gain unauthorized access to our systems
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Scrape, copy, or reverse engineer the Service
• Use automated tools (bots, scripts) without permission
• Interfere with the proper functioning of the Service
• Upload false, misleading, or fraudulent information
• Violate others' intellectual property rights

5. Shared Trips and Collaboration

When you invite others to a trip:

• All trip members can view trip details, families, expenses, and settlements
• Any member can add or edit expenses (subject to trip creator's settings)
• You are responsible for managing who has access to your trips
• Be cautious about what information you share in trip names and descriptions

Important: Settlement calculations are for reference only. Tallzy does not guarantee accuracy and is not responsible for disputes between trip members.

6. Payment and Settlements

Tallzy DOES NOT:

• Process payments or money transfers
• Hold, store, or transmit funds
• Act as a payment processor or financial institution
• Guarantee that users will pay their debts

All settlements and payments happen outside the app between users. Tallzy is not responsible for payment disputes, unpaid debts, or settlement disagreements.

7. Pricing and Subscriptions

Currently, Tallzy is offered free of charge to early adopters. We may introduce paid subscription plans in the future. If we do:

• Early adopters who joined before paid plans will maintain free access
• We will provide at least 30 days notice before introducing charges
• You may cancel at any time if you don't wish to continue

Future paid features may include:

• Advanced reporting and exports
• Unlimited trips or members
• Priority support
• Custom branding

8. Intellectual Property Rights

Our Property

Tallzy and all related content, features, and functionality (including but not limited to software, design, text, graphics, logos) are owned by us and protected by copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or distribute our intellectual property
• Use our trademarks or branding without permission
• Create derivative works based on Tallzy
• Remove or alter any copyright notices

Your Property

You retain all rights to your content. We will never claim ownership of your expense data, receipts, or personal information.

9. Third-Party Services

Tallzy uses third-party services including:

• Firebase (Google) - hosting, authentication, database, storage
• Google Sign-In - authentication option
• Apple Sign-In - authentication option

These services have their own terms and privacy policies. We are not responsible for third-party services or their content.

10. Disclaimers and Limitations of Liability

Service "As Is"

TALLZY IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of accuracy, reliability, or completeness
• Warranties of uninterrupted or error-free service

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALLZY AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or goodwill
• Service interruptions or data loss
• Errors in expense calculations or settlements
• Disputes between users regarding payments
• Third-party actions or content

OUR TOTAL LIABILITY SHALL NOT EXCEED $100 USD OR THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, WHICHEVER IS GREATER.

Financial Disclaimers

Tallzy is NOT:

• A financial advisor or accounting service
• Responsible for tax reporting or compliance
• Liable for incorrect calculations due to user input errors
• Able to guarantee users will honor settlement agreements

11. Indemnification

You agree to indemnify and hold Tallzy, its affiliates, officers, employees, and agents harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your content or conduct on the Service

12. Data Backup and Loss

While we implement backup procedures, you are responsible for maintaining your own backups of important data. We are not liable for any data loss or corruption.

We recommend:

• Taking screenshots of important settlements
• Keeping original receipts outside the app
• Exporting trip data periodically (when feature is available)

13. Termination

By You

You may terminate your account at any time through Settings → Account → Delete Account. Upon termination:

• Your account and personal data will be deleted
• Your trips will be removed (unless shared with other users)
• You will lose access to all data immediately

By Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent or abusive behavior
• Use the Service for illegal purposes
• Remain inactive for an extended period (we'll notify you first)

We will provide notice when reasonably possible before termination.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via:

• In-app notification
• Email (to your registered email address)
• Updated "Last Updated" date on this page

Your continued use after changes constitutes acceptance of the new Terms. If you don't agree, you must stop using the Service.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of [Your State/Country], without regard to conflict of law principles. Any legal action must be brought in the courts located in [Your Jurisdiction].

16. Dispute Resolution and Arbitration

Informal Resolution

If you have a dispute, please contact us first at tallzy.app@gmail.com. We'll try to resolve it informally within 30 days.

Binding Arbitration

If informal resolution fails, any dispute will be resolved through binding arbitration rather than in court, except for:

• Small claims court matters (under applicable limits)
• Intellectual property disputes
• Disputes seeking injunctive relief

Class Action Waiver

YOU AGREE TO BRING CLAIMS ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

17. Miscellaneous

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Tallzy.

Severability

If any provision is found invalid or unenforceable, the remaining provisions will remain in full effect.

Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms. We may assign these Terms without restriction.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, wars, pandemics, internet outages, etc.).
